1. Agreement to Terms

These Terms and Conditions (“Agreement”) govern your use of the products, services, software, and websites offered by Paywaz.com LLC (“Paywaz,” “PZ Coins,” “PZ Gold,” “we,” “us,” or “our”). By accessing or using any services offered by Paywaz or its subsidiaries, you (“User” or “you”) acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

If you do not agree to these Terms, you may not access or use the services.

2. Eligibility

You represent and warrant that:

• You are at least 18 years old or of legal age in your jurisdiction.
• You have legal authority to enter into this Agreement.
• You are not located in any jurisdiction where access to the Services is prohibited.

We may refuse access to any user or jurisdiction at our sole discretion.

3. Services Provided

Paywaz provides:

• Non-custodial blockchain-based payment processing.
• Currency-hedged digital tokens (PZ Coins: PZUSD, PZINR, PZGBP, PZVND, PZNGN).
• Gold-hedged digital assets (PZ Gold: PZXAU).
• Digital payment infrastructure using hedged assets.
• Non-custodial wallet services (users retain control of private keys).

We do not provide custodial services, investment products, securities, or banking services.

4. Regulatory Compliance

You agree to comply with all applicable laws and regulations, including:

• Anti-Money Laundering (AML)
• Know Your Customer (KYC)
• Sanctions Screening (OFAC)
• Counter-Terrorist Financing (CTF)
• Tax Reporting obligations

Paywaz reserves the right to:

• Conduct KYC, AML, and sanctions screening.
• Suspend, freeze, or terminate accounts for non-compliance.
• Report suspicious activity to appropriate authorities.

5. Hedging Disclaimer

All digital assets offered are hedged (not pegged) to reference assets. Hedging mechanisms may not fully eliminate volatility or price deviations. No representation is made that hedging will always fully protect against price fluctuations.

6. No Financial or Investment Advice

The Services do not constitute financial, legal, tax, investment, or trading advice. You assume sole responsibility for your decisions and acknowledge inherent risks.

7. User Conduct Guidelines

You agree not to:

• Use the Services for illegal purposes, including money laundering, terrorism financing, or sanctions evasion.
• Violate applicable financial, securities, or commodities laws.
• Upload or distribute malware.
• Attempt unauthorized access to systems or accounts.

8. Intellectual Property & Software License

• All content, software, trademarks, and intellectual property are owned by Paywaz.
• Paywaz grants you a limited, non-exclusive, non-transferable, revocable license to access its Services.
• You may not reverse engineer, decompile, modify, or create derivative works from any part of Paywaz’s Services or software.

9. Privacy & Data Protection

Paywaz processes your personal data in accordance with applicable privacy laws, including:

• GDPR (EU)
• CCPA/CPRA (California, USA)
• Other global data protection frameworks.

10. Payment Terms

• Subscription fees may apply and are billed per your selected plan.
• Auto-Convert Technology fees may apply for digital asset conversions.
• All fees are disclosed prior to transaction execution.
• Fees are non-refundable unless required by law.
• You are responsible for timely payments using authorized payment methods.

11. Limitation of Liability

To the maximum extent permitted by law:

• Paywaz is not liable for indirect, incidental, or consequential damages.
• Paywaz’s aggregate liability shall not exceed the greater of:
  (a) amounts paid by you within 12 months prior to claim OR
  (b) $100 USD.

We are not liable for external events beyond our control, including:

• Regulatory changes
• Market volatility
• Cybersecurity attacks
• Technology failures

12. Indemnification

You agree to indemnify Paywaz against any claims, losses, or liabilities resulting from:

• Your breach of this Agreement.
• Your unlawful use of the Services.
• Third-party claims arising from your conduct.

13. Termination

Paywaz may terminate or suspend your access at any time for:

• Breach of this Agreement.
• Payment failures.
• Regulatory requirements.
• Platform shutdowns.

All licenses and rights granted to you terminate upon termination.

14. Dispute Resolution & Arbitration

• Parties agree to resolve disputes first by negotiation.
• If unresolved, disputes shall be settled by binding arbitration under AAA rules.
• Class action lawsuits are waived.
• U.S. law applies, and venue is in Florida courts.

15. Force Majeure

Paywaz is not liable for delays or failures caused by:

• Natural disasters
• Pandemics
• Regulatory interventions
• Utility failures
• Cyberattacks
• Labor strikes
• Other events beyond Paywaz’s reasonable control

16. Disclaimers

The Services are provided “as is” without warranties of any kind, including:

• Merchantability
• Fitness for purpose
• Non-infringement

We disclaim any guarantees of value stability or uninterrupted service.

17. Regulatory Status Disclosures

• Paywaz operates as a non-bank financial service provider.
• We are not FDIC insured, OCC chartered, or Federal Reserve supervised.
• Funds held are not insured by any government agency.
• Non-custodial model: Users control private keys; Paywaz does not custody funds.
• MSB registration with FinCEN and AML/KYC obligations apply.

18. Digital Asset Risks

You acknowledge and accept risks associated with:

• Digital currency price volatility
• Regulatory uncertainty
• Technology and cybersecurity risks
• Liquidity issues

You bear full responsibility for monitoring your own positions.

19. International Use

• Users are responsible for compliance with local laws.
• Paywaz may restrict services in certain jurisdictions.
• International users consent to U.S. law and jurisdiction.

20. Accessibility

Paywaz aims to comply with ADA and WCAG 2.1 accessibility standards.

21. Severability

If any part of this Agreement is held invalid, remaining provisions shall remain in effect.

22. Modifications
